Helioustin Industry Supplier NDA and Guidelines

Non-Disclosure Agreement (NDA)
 

This Non-Disclosure Agreement (the "Agreement") is entered into as of [Date], by and between:

("Company")

and

("Industry Supplier")
 

1. Confidential Information

The Company may disclose certain confidential and proprietary information (the "Confidential Information") to the Industry Supplier. Confidential Information shall include all data, materials, products, technology, computer programs, specifications, manuals, business plans, software, marketing plans, financial information, and other information disclosed or submitted, orally, in writing, or by any other media, to the Industry Supplier by the Company.
 

2. Obligations of Industry Supplier

The Industry Supplier agrees to:

1. Maintain the confidentiality of all Confidential Information.

2. Not disclose or communicate Confidential Information to any third party.

3. Use the Confidential Information solely for the purpose of fulfilling duties and obligations as an Industry Supplier for the Company.
    

3. Term

This NDA will commence on the date first written above and will remain in effect for the duration of the Industry Supplier’s engagement with the Company and for a period of two years thereafter.
 

4. Return of Materials

Upon termination of the Industry Supplier’s engagement with the Company, the Industry Supplier agrees to promptly return all Confidential Information, including any copies thereof, to the Company.
 

5. Miscellaneous

1. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof.

2. This Agreement shall be governed by and construed in accordance with the laws of [India].
    

Industry Supplier Guidelines
 

1. Project Acceptance

• Industry Suppliers will be offered projects based on their expertise and availability.

• Projects must be accepted within 48 hours of the offer.
   

2. Commission

Helioustin will charge a 10%-40% commission on each project.
 

3. Payment Terms

• Payments will be processed upon successful completion and approval of the project by the client.

• Payment details, including account details and Payment Gateway IDs, must be provided for timely transactions.
   

4. Quality and Deadlines

• High-quality work is expected on all projects.

• Projects must be completed within the agreed deadlines. Failure to meet deadlines may result in penalties or termination of the agreement.
   

5. Communication

• Effective communication is essential. Industry Suppliers must be responsive to emails and messages from Helioustin and clients.
   

6. Conduct

• Industry Suppliers are expected to conduct themselves professionally and ethically at all times.

• Any form of misconduct or breach of the NDA will result in immediate termination.
